We help company owners and managers build the legal foundation of their business: register a company, reach agreement between partners, secure rights to what the team develops, and prepare for an investment or a bank review. We work with LLCs (TOV), sole proprietors (FOP) and Diia.City residents.

First we understand how your business works and what matters to it, then we propose solutions with an explanation of the risks and costs. We draft documents for your specific situation, not from a template. Consultations and most of the work are done online, so the city where your company is registered does not matter.

Who we help

  • Founders setting up an LLC (TOV) or registering as a sole proprietor (FOP) who want the right structure from the start
  • Partners who need to agree on shares, management and exit from the business
  • IT and product teams: rights to code, contracts with developers, Diia.City
  • Companies raising investment, buying or selling a business
  • Businesses that have received a KYC/AML request from a bank, payment service or counterparty
  • Companies without an in-house lawyer that need ongoing support

How we work in this practice

01

The business comes first

Before drafting documents, we find out the business model, the partners' roles and their plans. That way the structure and contracts reflect how the company actually works.

02

Risks before signing

We explain what could go wrong and offer options with the consequences of each. You make the decision with the full picture.

03

Plain language

We write so that the terms are clear not only to lawyers but also to founders, finance people and investors. We explain complex structures with examples.

04

Transparent pricing

We agree the scope of work and the price before we start and record them in the legal services agreement. Additional tasks are done only with your approval.

Frequently asked questions

In brief: how the first consultation works, what a lawyer costs and how we keep your information confidential.

Can we work with you entirely online?

Yes. We hold consultations by video call, agree documents electronically and sign them with a qualified electronic signature (QES/КЕП) where the law permits. Registration actions for LLCs and sole proprietors can mostly be done online as well. Personal attendance may be needed, for example, for certain notarial acts or at a bank, and we warn you about such steps in advance.

How does a shareholder agreement differ from the charter?

The charter is a public document that anyone can see in the state register. A shareholder (corporate) agreement is concluded between the members themselves, and its content is usually confidential. It covers matters that are inconvenient to put in the charter: voting procedures, exit terms, sale of shares, conflict resolution. For an LLC (TOV), such an agreement is provided for by Article 7 of the Law of Ukraine “On Limited and Additional Liability Companies”.

How much does a legal retainer cost and what does it include?

From $265 per month. The scope depends on the company's needs: the number of requests, contracts to review and time for consultations. Before we start, we define a package of hours or tasks, the communication channel and response times. All of this is recorded in the agreement so that you know in advance what you are paying for and what happens if there are more tasks.

What should we do if a bank requests documents or has restricted our account?

Do not send the first reply that comes to mind. First we find out exactly what the bank is requesting and on what basis. Then we help gather documents on the source of funds, the nature of the transactions and the ownership structure, and prepare an explanation. If the bank has restricted service, we assess how to challenge its actions. The final decision rests with the bank, so it is important to respond fully and consistently the first time.

Can a company be registered with a foreign founder?

Yes. A foreign individual or legal entity may be a member of a Ukrainian LLC (TOV). Documents of a foreign company usually require an apostille or consular legalisation and a notarised translation, and a foreign individual needs a Ukrainian taxpayer registration number. The ultimate beneficial owner must also be disclosed. The law imposes restrictions on certain categories of persons, in particular those connected with the aggressor state.
