Registering a company takes a few days, but decisions made at the start have effects for years. Share sizes, voting procedures, the director's powers, a model or a bespoke charter — all of this is worth thinking through before filing.
We prepare the document package for registering an LLC (TOV) or for changes in an existing company: change of director, members, authorised capital, registered address, business activities or ultimate beneficial owner details. We file the documents, follow the review and check that the information in the Unified State Register (USR/ЄДР) matches what was filed.
When to seek help
- You are setting up an LLC on your own or with partners
- You need to change the director, address, name or business activities (KVED/КВЕД codes)
- A new member is joining the company or one of the partners is leaving
- You are increasing or reducing the authorised capital
- You need to update beneficial owner and ownership structure details
- You are switching from a model charter to a bespoke one or vice versa
What the lawyer does
Advising on structure
We discuss shares, decision-making procedures, the director's powers and the choice between a model and a bespoke charter in light of your plans for the coming years.
Preparing documents
We draft the members' decision or general meeting minutes, the charter, the share transfer deed, the ownership structure chart and other documents required by the registrar.
Filing for registration
We file the documents online, through a state registrar or a notary, follow the review and promptly address any comments if needed.
Checking the result
We compare the USR extract with the filed documents so that no errors remain in the register that could later cause problems with banks or counterparties.
Explaining next steps
We advise whom to notify of the changes — the bank, counterparties, partners — and what to update in contracts and the company's internal documents.
Documents to prepare
- Passports and taxpayer registration numbers (RNOKPP/РНОКПП) of the members and director
- For an existing company — the charter and USR extract
- Previous members' decisions on the changes, if any
- Details of the ultimate beneficial owner and ownership structure
- For a foreign member — apostilled or legalised documents with translation
- Preferred name, address and business activities
What you get
- A registration document package agreed with you
- Filing and support until the registration action is completed
- A USR extract with up-to-date information
- A memo on next steps after registration or changes
Frequently asked questions
Model charter or bespoke charter — which to choose?
The model charter is approved by the Cabinet of Ministers and suits simple situations: a single founder or partners with equal and transparent arrangements. A bespoke charter lets you set special voting rules, limits on the director's powers and conditions for a member's exit. If there are several partners or investment is planned, a bespoke charter together with a shareholder agreement usually gives more flexibility.
Do members need to attend in person to make changes?
Not always. Members' decisions can be signed with qualified electronic signatures, or the signatures can be certified by a notary. Some documents, such as a member's exit application, require notarial certification of the signature. We explain the procedure for your situation in advance so that nobody has to visit the notary twice.
What is a UBO and why does the registrar ask about it?
The ultimate beneficial owner (UBO/КБВ) is the individual who ultimately controls the company, even if they own it through other companies. UBO details and the ownership structure chart are submitted to the Unified State Register (USR/ЄДР) on registration and when changes occur. Inaccurate or outdated data may lead to a fine and questions from banks, so we prepare them carefully.
